1. Acceptance of Terms

Welcome to ClassEasily! These Terms of Service ('Terms') constitute a legally binding agreement between you ('you', 'User') and Classeasily Inc. ('ClassEasily', 'we', 'us', 'our') governing your access to and use of the ClassEasily website (classeasily.com), mobile applications, and related services (collectively, the 'Platform').

By accessing, browsing, or using the Platform in any manner—including creating an account or making a booking as a guest—you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at Privacy Policy), which is incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you must not access or use the Platform.

We may modify these Terms at any time. We will notify you of significant changes by posting the revised Terms on the Platform or through other communication channels. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

2. Definitions

  • User: Any individual or entity accessing or using the Platform, including Guests and Hosts.
  • Guest: A User who searches for, books, or attends Experiences via the Platform.
  • Host: An individual, business, or organization that offers Experiences via the Platform.
  • Experience / Experiences: Activities, workshops, tours, instructional sessions, or events, including single sessions and multi-session courses, offered by Hosts on the Platform.
  • Listing: A Host's description, details, schedule, and pricing for an Experience offered on the Platform.
  • Booking: An agreement between a Guest and a Host, facilitated by the Platform, for the Guest to attend an Experience.
  • User Content: Any text, images, videos, reviews, messages, or other materials uploaded, posted, or transmitted by Users on the Platform.
  • Platform Content: All content on the Platform excluding User Content, including text, graphics, logos, icons, images, software, and underlying technology.
  • Fees: Any charges applicable to Users, including Service Fees, Booking Fees, or Payment Processing Fees, as detailed on the Platform.
  • Gift Card: A prepaid balance issued by ClassEasily that may be purchased on the Platform and redeemed toward Bookings or eligible purchases, subject to these Terms and any terms displayed at purchase or redemption.
  • Widget Subscription: A recurring subscription plan offered by ClassEasily that enables Hosts to access the booking widget, premium features, and related tools on the Platform.
  • Add-on Subscription: An optional recurring subscription (e.g. marketplace email branding or email marketing) that supplements a Host's Widget Subscription or marketplace account.
  • Customer Membership: A recurring subscription or credit plan offered by a Host to Guests through the Platform, billed on a recurring basis and subject to the Host's membership terms.
  • Corporate Client: A business or organization that books group Experiences through ClassEasily's corporate booking program.

3. Eligibility and Account Registration

To use the Platform to make a booking, whether by creating an account or checking out as a guest, you must be at least 18 years old or the age of legal majority in your jurisdiction. By making a booking, you represent and warrant that you meet this age requirement.

A User who meets this age requirement (e.g., a parent or legal guardian) may book an Experience on behalf of a minor. If you do so, you represent and warrant that you are the minor's legal guardian, and you agree to these Terms on behalf of the minor. You are solely responsible for the minor’s conduct, safety, and compliance with any Experience rules or requirements.

Booking for Age-Restricted Experiences: To book or attend any Experience that involves the sale, service, or consumption of alcohol, you must be at least 19 years old (the legal drinking age in Ontario). All attendees of such experiences must provide valid government-issued photo identification upon request by the Host. You may not book an alcohol-related experience on behalf of anyone under the age of 19.

If you choose to create an account, you agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account password (if you create one) and for all activities that occur under your account. You agree to notify ClassEasily immediately of any unauthorized use of your account. ClassEasily will not be liable for any loss or damage arising from your failure to comply with this section.

ClassEasily reserves the right to suspend or terminate your account, or cancel any bookings, if any information provided is inaccurate, not current, incomplete, or if you violate these Terms.

4. Nature of the Platform

ClassEasily provides an online marketplace that enables Hosts to publish Listings for Experiences and communicate with Guests seeking such Experiences. Guests can search for, communicate with Hosts about, and book Experiences directly with Hosts through the Platform.

Important Disclaimer: ClassEasily acts solely as a facilitator and is not a party to any agreement entered into between Guests and Hosts. ClassEasily does not own, create, sell, resell, provide, control, manage, offer, deliver, or supply any Experiences or Listings. Hosts are solely responsible for their Listings and Experiences. When Guests make or accept a Booking, they are entering into a contract directly with the Host.

While ClassEasily may facilitate dispute resolution, we have no control over and do not guarantee (i) the existence, quality, safety, suitability, or legality of any Listings or Experiences, (ii) the truth or accuracy of any Listing descriptions, ratings, reviews, or other User Content, or (iii) the performance or conduct of any User or third party. ClassEasily does not endorse any User, Listing, or Experience. Any verification or background check information provided is for informational purposes only and is not an endorsement, certification, or guarantee.

5. Host Terms

5.1. Listing Experiences

As a Host, you may create Listings for your Experiences or Workshops. Your Listings must include complete and accurate information about your Experience, including description, location (if applicable), schedule, duration, capacity, prerequisites, pricing, cancellation policy, and any rules or requirements.

You are responsible for setting the price for your Experience (including any taxes or fees) and establishing rules and requirements. You may not post any Listing with false or misleading information or list any Experience that violates applicable laws or these Terms.

You represent and warrant that you have all necessary rights, licenses, permits, qualifications, and insurance to offer the Experiences listed and that your Listings and Experiences will not infringe upon any third-party rights.

Images and videos used in your Listings must accurately reflect the quality and condition of your Experiences. ClassEasily reserves the right to require Listings to have a minimum number of images of a certain format, size, and resolution.

5.2. Managing Bookings

You are responsible for honouring any confirmed Bookings. When you accept a Booking request or receive a confirmation through the Platform, you enter into a legally binding agreement with the Guest.

You are responsible for setting your cancellation policy, which must be clearly stated in your Listing. You must adhere to your stated policy. Your chosen cancellation policy is binding; ClassEasily will process refunds to Guests in accordance with that policy.

To receive payouts, you must complete Stripe Connect (or equivalent) setup through the Platform. Failure to do so may result in delayed or unavailable payouts until your payout account is linked and valid.

5.3. Conduct and Responsibility

You are solely responsible for conducting your Experiences in a professional, safe, and respectful manner, complying with all applicable laws (including health and safety regulations, accessibility laws, and tax laws).

You are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individuals who assist with or participate in your Experience.

5.4. Host Subscriptions

ClassEasily offers Widget Subscription plans (currently Basic, Growth, and Advanced) that provide access to the booking widget, marketplace listing, and plan-specific features. Current pricing and per-booking commission rates are set out on our Fees and Pricing page and in your Host dashboard. Subscription fees are billed monthly in Canadian Dollars (CAD) on a recurring basis and automatically renew at the end of each billing period unless cancelled.

By subscribing, you authorize ClassEasily to charge your payment method on file for the applicable subscription fee and any applicable taxes at the start of each billing period. You are responsible for keeping your payment method valid and current. If payment fails (e.g. card declined), subscription features may be suspended or restricted until payment is updated. ClassEasily may send payment-failure reminders but is not liable for missed payments or resulting service limits.

Upgrades take effect immediately; you may be charged a prorated amount for the remainder of the current billing period. Downgrades take effect at the start of the next billing period; you will retain access to your current plan's features until then. ClassEasily does not provide refunds or credits for partial billing periods except where required by law.

You may cancel a Widget Subscription at any time through your Host dashboard or by contacting support@classeasily.com. Cancellation takes effect at the end of the current billing period; you will retain access until that date. Upon cancellation or suspension for non-payment, your widget may be disabled, premium features may be restricted, and your marketplace listing may be affected, but existing confirmed Guest Bookings remain subject to these Terms and applicable cancellation policies.

ClassEasily may also offer Add-on Subscriptions (e.g. marketplace email branding or tiered email marketing plans). Add-on fees are billed monthly on a recurring basis under the same billing, renewal, cancellation, and payment-failure terms as Widget Subscriptions unless otherwise stated at purchase. Add-ons may require an active Widget Subscription or marketplace account.

For subscription charges, you agree to contact ClassEasily first to resolve any billing dispute before initiating a chargeback or payment reversal with your bank or card issuer. Unauthorized chargebacks for valid subscription charges may result in account suspension and recovery of associated fees.

5.5. Host Membership Programs

Hosts on eligible plans may offer Customer Memberships to Guests through the Platform. When you offer memberships, you are the merchant of record for the membership offering: you set membership terms (including pricing, benefits, credits, duration, and cancellation rules), and you are solely responsible for honouring those terms and delivering the promised benefits.

ClassEasily facilitates recurring billing and payment collection for Customer Memberships as a technology and payment facilitator only. ClassEasily is not a party to the membership agreement between you and your members and does not guarantee member satisfaction, credit balances, or ongoing availability of your membership program.

If your Host account is suspended, terminated, or you cease operating on the Platform, you remain responsible for honouring active memberships, unused credits, and prepaid benefits to the extent required by applicable law and your stated membership terms. ClassEasily may, but is not obligated to, assist with member notifications or facilitate refunds from your payouts or account balance. ClassEasily is not liable for losses arising from your failure to honour membership obligations.

6. Guest Terms

6.1. Booking Experiences

Subject to meeting any requirements set by the Host (such as age, proficiency, or prerequisites), you can book an Experience available on the Platform by following the relevant booking process.

Upon receipt of a booking confirmation from ClassEasily, a legally binding agreement is formed between you and the Host, subject to any additional terms and conditions of the Host that apply, including the applicable cancellation policy and any rules specified in the Listing.

Completion of payment does not guarantee a spot until the booking is confirmed. If the session is no longer available (e.g. the session is full), ClassEasily will refund you in accordance with our refund policy. A selected spot may be held for a limited time (e.g. 15 minutes); you must complete payment within that time to confirm the booking. If the session fills or the hold expires, the spot may no longer be available.

6.2. Attending Experiences

You agree to comply with any rules or requirements specified by the Host in the Listing or communicated to you. You are responsible for your own conduct during the Experience.

You should carefully review the description, schedule, location, and cancellation policy before booking an Experience.

6.3. Customer Memberships

Guests may purchase Customer Memberships offered by Hosts through the Platform. When you subscribe to a membership, you enter into a direct agreement with the Host for membership benefits; ClassEasily processes recurring payments on the Host's behalf as a facilitator.

Membership terms—including price, billing frequency, included credits or sessions, rollover rules, and cancellation rights—are set by the Host and displayed at purchase. You are responsible for reviewing those terms before subscribing. Unless otherwise stated by the Host or required by law, membership fees are non-refundable once a billing period has begun.

You may cancel a Customer Membership through your account settings or as directed by the Host. Cancellation typically takes effect at the end of the current billing period unless the Host's terms state otherwise. Unused credits or benefits may expire upon cancellation as specified in the Host's membership terms.

If a Host ceases operations, removes their membership program, or is removed from the Platform, ClassEasily will use reasonable efforts to notify affected members but is not responsible for the Host's failure to deliver remaining membership benefits. Any remedy for unused credits or prepaid benefits is between you and the Host, except where ClassEasily is required by law to facilitate a refund.

7. Fees, Payments, and Cancellations

7.1. Fees

More information about when Fees apply and how they are calculated can be found on our Fees and Pricing page or will be disclosed during the booking/listing process.

Any applicable Fees (including any applicable Taxes) will be displayed to a User prior to publishing a Listing or confirming a Booking. ClassEasily reserves the right to change the Fees at any time, and will provide Users adequate notice of any fee changes before they become effective.

7.2. Payments

Guests agree to pay the Total Fees for any Booking requested in connection with their ClassEasily Account. ClassEasily Payments (via Stripe) will collect the Total Fees at the time of the booking request or upon the Host’s confirmation.

Hosts will receive payouts according to the schedule and method agreed upon (e.g., after Experience completion minus applicable Service Fees). Payout details and schedules are available in the Host dashboard or relevant documentation. Hosts must complete Stripe Connect (or equivalent) setup to receive payouts; failure to do so may result in delayed or unavailable payouts until the account is linked and valid. Payouts may be delayed or fail due to Stripe, account setup (e.g. incomplete Connect onboarding), or other technical reasons; Hosts must ensure their payout account is valid and that they resolve any Stripe or account issues. ClassEasily will retry or notify where feasible but is not liable for third-party processing delays or failures.

ClassEasily may withhold, delay, or offset payouts (including creating a reserve) when reasonably necessary for fraud review, compliance verification, open chargebacks or payment disputes, suspected policy violations, reconciliation of billing errors, or amounts owed to ClassEasily (including dispute fees, chargebacks, or subscription arrears). A minimum payout threshold may apply; balances below the threshold are carried forward until the next eligible payout run, as described on our Fees and Pricing page.

ClassEasily utilizes Stripe, Inc. ('Stripe') for payment processing services. By using the payment features of the Platform, you agree to be bound by the Stripe Connected Account Agreement (available at https://stripe.com/en-ca/legal/connect-account) and the Stripe Services Agreement (available at https://stripe.com/en-ca/legal/ssa), which may be modified by Stripe from time to time. As a condition of ClassEasily enabling payment processing services through Stripe, you agree to provide ClassEasily accurate and complete information about you and your business, and you authorize ClassEasily to share it and transaction information related to your use of the payment processing services provided by Stripe. ClassEasily does not store your full credit card information.

7.2.1. Gift Cards

You may purchase Gift Cards on the Platform. Gift Cards are subject to any terms and conditions displayed at the time of purchase. Gift Card balances may be applied toward eligible Bookings and purchases as permitted on the Platform. Unless otherwise stated or required by law, Gift Cards are non-refundable for cash. Paid Gift Cards sold in Ontario are not subject to expiry dates, in accordance with the Ontario Consumer Protection Act, 2002, and similar applicable laws. Promotional or complimentary gift cards may have separate terms as stated at issuance. If a gift card cannot be fully applied for technical or balance reasons, the remaining balance may remain on the card and the rest of the payment will have been charged to your payment method; ClassEasily may contact you in such cases. Use of a Gift Card is subject to these Terms.

If ClassEasily ceases operations or the Platform is discontinued, ClassEasily will use reasonable efforts to honour outstanding Gift Card balances for eligible redemptions during any wind-down period announced on the Platform, or to provide an alternative remedy where required by law. ClassEasily is not liable beyond such efforts or applicable legal obligations.

7.2.2. Promotional Gift Cards

ClassEasily may offer promotional gift cards (e.g. first-purchase rewards) from time to time. Eligibility, amounts, and conditions (such as minimum spend or one per customer per email) will be as stated in the offer. Promotional gift cards are typically for use on a future booking only. Delivery is by email on a best-effort basis. ClassEasily may change, suspend, or end any promotion at any time without notice.

7.2.3. Corporate Bookings

Corporate Clients may book group Experiences through ClassEasily's corporate program. Corporate bookings may require a deposit at confirmation, with the remaining balance due by a specified date before the Experience. Deposit percentages, payment schedules, group minimums, and any custom terms will be disclosed during the corporate booking process or in a separate corporate agreement.

Corporate Clients are responsible for providing accurate billing and event information and for ensuring attendees comply with Host rules and these Terms. Cancellation and refund treatment for corporate bookings—including whether a deposit is refundable or forfeited—will be as stated in the corporate booking confirmation or applicable corporate agreement. Unless otherwise stated, deposits may be non-refundable once paid if the Corporate Client cancels within the period specified at booking.

If a Host cancels a corporate booking or the Experience cannot be fulfilled, ClassEasily will work with the Corporate Client and Host to arrange a full refund of amounts paid for the affected booking or an alternative date, subject to these Terms. ClassEasily acts as a facilitator and is not liable for indirect costs (e.g. venue, travel, or catering) incurred by the Corporate Client.

7.3. Cancellations and Refunds

Hosts and Guests are responsible for any modifications to a Booking they make via the Platform, and agree to pay any additional Fees associated with such modifications.

Guests can cancel a confirmed Booking subject to the Listing’s cancellation policy set by the Host. ClassEasily Payments will refund the amount due to the Guest in accordance with such cancellation policy. Refunds are processed via the payment processor and may be delayed or require manual handling in exceptional cases. If you do not receive an expected refund within 10 business days, please contact support@classeasily.com. Applicable Booking Fees may be non-refundable.

If a booking cannot be fulfilled after payment (e.g. the session is no longer available, a system error), ClassEasily will attempt to refund the payment. Refunds are subject to the payment processor (Stripe) and may take several business days. If a refund attempt fails, please contact support and ClassEasily will work to resolve the matter (e.g. manual refund or alternative resolution).

Hosts can cancel a confirmed Booking under certain extenuating circumstances. If a Host cancels, the Guest will receive a full refund of the Total Fees for such Booking. ClassEasily may impose penalties on Hosts for cancellations without valid extenuating circumstances.

7.4. Chargebacks and Payment Disputes

If you have a concern about a charge, you agree to contact ClassEasily at support@classeasily.com before initiating a chargeback, payment reversal, or similar dispute with your bank or card issuer. We will work in good faith to investigate and resolve legitimate disputes in accordance with these Terms and applicable policies.

If you initiate a chargeback or payment dispute for a transaction that was validly processed in accordance with these Terms (including where an Experience was delivered, a cancellation policy was correctly applied, or a subscription fee was properly charged), you may be liable for the disputed amount, associated Stripe dispute fees, and reasonable administrative costs. ClassEasily may recover such amounts by reversing prior payouts, offsetting future payouts, charging your payment method on file, or suspending your account.

For Hosts, chargebacks and payment disputes related to your Bookings or memberships may result in deductions from your payouts, including the full disputed amount and any processor dispute fees. You authorize ClassEasily to debit or offset such amounts from your Connect account or future payouts. ClassEasily is not responsible for chargebacks arising from your conduct, Listing inaccuracies, or failure to deliver an Experience as described.

7.5. No-Show Policy

If a Guest fails to attend a confirmed Booking without cancelling in advance ('no-show'), the booking will be treated as a cancellation under the Host's applicable cancellation policy. Unless the Host's policy or applicable law provides otherwise, no-shows are not entitled to a refund.

If a Host fails to provide the booked Experience as scheduled without valid notice or extenuating circumstances ('host no-show'), the Guest is entitled to a full refund of the Total Fees for that Booking. ClassEasily may impose penalties on the Host, including listing restrictions or account suspension, for repeated or unjustified host no-shows.

7.6. Promotional Codes and Discounts

Hosts and ClassEasily may offer promotional codes, discounts, or special offers from time to time. Each offer is subject to the terms displayed at the time of use, including eligibility, expiry, minimum spend, applicable Listings, and whether it can be combined with other offers.

Promotional codes and discounts may not be sold, transferred, or reproduced unless expressly permitted. Misuse—including using expired, invalid, or unauthorized codes, or attempting to apply multiple non-stackable offers—may result in cancellation of the Booking, forfeiture of the discount, or account suspension. ClassEasily and Hosts reserve the right to modify, revoke, or cancel any promotional offer at any time.

7.7. Pricing Errors

ClassEasily and Hosts strive to display accurate pricing, but errors may occur due to system malfunction, manual entry, or other reasons. If a Booking is confirmed at a price that is materially erroneous (e.g. due to a technical glitch or obvious mistake), ClassEasily may cancel the Booking and issue a full refund of amounts paid, or offer the Guest the option to complete the Booking at the correct price.

ClassEasily is not liable for any losses arising from pricing errors beyond refunding amounts paid for a cancelled Booking. Hosts are responsible for ensuring their Listing prices are accurate; ClassEasily may correct obvious Listing errors or remove Listings that contain manifest pricing mistakes.

8. User Content and Conduct

8.1. User Content

You may be able to create, upload, post, send, receive, and store User Content on or through the Platform. By doing so, you grant ClassEasily a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sub-licensable, and transferable license to use, store, display, reproduce, modify, create derivative works, distribute, publish, and publicly perform such User Content solely for the purposes of operating, providing, promoting, and improving the Platform.

You represent and warrant that you own or have all necessary rights to your User Content and that its use by ClassEasily as contemplated herein will not infringe, misappropriate, or violate any third party's rights (including intellectual property or privacy rights).

You are solely responsible for your User Content. ClassEasily may, but has no obligation to, monitor, review, or remove User Content at its sole discretion and without notice.

8.2. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable local, provincial, national, or international law or regulation.
  • Using the Platform for any fraudulent, misleading, or deceptive purpose.
  • Infringing upon or violating our intellectual property rights or the intellectual property rights of others.
  • Harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating, or discriminating based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
  • Submitting false or misleading information.
  • Uploading or transmitting viruses, worms, or any other type of malicious code.
  • Collecting or tracking the personal information of others without consent.
  • Interfering with or circumventing the security features of the Platform or any related website.
  • Using the Platform to offer services unrelated to Experiences listed.
  • Circumventing any Fees owed to ClassEasily or Hosts.
  • Posting spam or unsolicited commercial messages.

We reserve the right to terminate your use of the Service for violating any of the prohibited uses.

9. Reviews and Feedback

Guests and Hosts may leave public reviews and ratings about each other. Reviews must be accurate, truthful, and may not contain discriminatory, offensive, defamatory, or harassing language.

Reviews reflect the opinions of individual Users and do not reflect the opinion of ClassEasily. ClassEasily does not verify reviews for accuracy but may remove reviews that violate these Terms or our Content Policy

We welcome and encourage feedback, comments, and suggestions for improvements to the Platform ('Feedback'). You grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish Feedback for any purpose, without compensation to you.

10. Intellectual Property

The Platform and Platform Content, including its features and functionality, are and will remain the exclusive property of ClassEasily Inc. and its licensors. The Platform is protected by copyright, trademark, and other laws of Canada and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ClassEasily.

If you believe that any content on the Platform infringes upon your copyright, please notify us in accordance with our Copyright Policy.

11. Term and Termination

This Agreement shall be effective for a 30-day term, at the end of which it will automatically and continuously renew for subsequent 30-day terms until such time when you or ClassEasily terminate the Agreement in accordance with this provision.

You may terminate this Agreement at any time by sending us an email or deleting your account via your account settings (if available). Note that terminating your account will not automatically cancel pending Bookings; you must manage those according to applicable cancellation policies.

ClassEasily may terminate this Agreement and your account for any reason, or no reason, at our sole discretion, by giving you 30 days' notice via email to your registered email address.

ClassEasily may immediately, without notice, terminate this Agreement and/or stop providing access to the Platform if (i) you have materially breached your obligations under these Terms, our Policies, or applicable laws, (ii) you have provided inaccurate, fraudulent, outdated, or incomplete information, (iii) ClassEasily believes in good faith that such action is reasonably necessary to protect the safety or property of other Users, ClassEasily, or third parties.

Upon termination, you are not entitled to a restoration of your account or any of your User Content. Provisions that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive termination.

12. Disclaimers

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN 'AS IS' AND 'AS AVAILABLE' BASIS. CLASSEASILY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CLASSEASILY MAKES NO WARRANTY THAT (I) THE PLATFORM WILL MEET YOUR REQUIREMENTS, (II) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE PLATFORM WILL MEET YOUR EXPECTATIONS.

CLASSEASILY DOES NOT CONDUCT BACKGROUND CHECKS ON ALL USERS BUT RESERVES THE RIGHT TO DO SO. WE ARE NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE PLATFORM.

Booking confirmations and reminders (email or SMS) are sent in good faith but delivery is not guaranteed. You are responsible for noting your booking details and cancellation deadlines.

ClassEasily is not liable for failures or delays of third-party payment processors (including Stripe), for failed or delayed refunds or payouts due to such failures, or for technical errors that result in a booking not being completed or a refund not being automatically processed, except where required by law. Our obligation in such cases is to use reasonable efforts to resolve the matter (e.g. manual refund or payout).

12.6. Force Majeure

Neither ClassEasily nor any User shall be liable for any failure or delay in performing obligations under these Terms (other than payment obligations already due) where such failure or delay results from events beyond the party's reasonable control, including natural disasters, epidemics or pandemics, government orders or restrictions, utility failures, labour disputes, acts of terrorism, or failures of third-party infrastructure not caused by the affected party.

If a Host cancels a confirmed Booking due to force majeure, the Guest will receive a full refund of the Total Fees for such Booking and the Host will not be subject to cancellation penalties for that Booking, provided the Host promptly notifies affected Guests and ClassEasily. ClassEasily may assist with communications but is not responsible for indirect losses arising from force majeure events.

12.7. Platform Errors and Downtime

The Platform may experience downtime, interruptions, bugs, or errors that affect availability, booking flows, pricing display, payout processing, or communications. ClassEasily is not liable for any losses, missed bookings, or consequential damages arising from Platform outages, maintenance, or technical malfunctions.

If a Platform error causes you to be incorrectly charged, charged twice, or unable to complete or receive a confirmed Booking, your sole remedy is a refund of the erroneous or duplicate charge, rebooking where available, or another reasonable corrective action at ClassEasily's discretion. ClassEasily's liability for Platform errors is subject to Section 13 (Limitation of Liability).

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLASSEASILY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING HOSTS OR GUESTS; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLASSEASILY'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO CLASSEASILY IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100.00), IF NO SUCH PAYMENTS HAVE BEEN MADE.

14. Indemnification

You agree to release, defend, indemnify, and hold ClassEasily and its affiliates and subsidiaries, and their officers, directors, employees, and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your breach of these Terms or our Policies, (ii) your improper use of the Platform, (iii) your interaction with any User, participation in an Experience, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction or participation, or (iv) your breach of any laws, regulations or third party rights.

15. Dispute Resolution and Governing Law

15.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.

15.2. Informal Resolution

Before initiating arbitration or court proceedings (other than small claims as described below), you agree to first contact ClassEasily at support@classeasily.com and attempt to resolve the Dispute informally for at least thirty (30) days. During this period, both parties will negotiate in good faith. If the Dispute is not resolved within thirty (30) days, either party may proceed to arbitration as set out below.

15.3. Dispute Resolution (Arbitration Clause)

PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and ClassEasily agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Platform (collectively, 'Disputes') will be settled by binding arbitration, except that each party retains the right to (i) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights, and (ii) bring an individual action in small claims court in Ontario if the claim qualifies and remains within that court's jurisdictional limits.

The arbitration will be administered by the ADR Institute of Canada, Inc. The arbitration will be conducted in Toronto, Ontario, Canada, unless you and ClassEasily agree otherwise. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

YOU AND CLASSEASILY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and ClassEasily agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

16. General Provisions

These Terms constitute the entire agreement between ClassEasily and you regarding the use of the Platform and supersede all prior agreements or understandings.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.

ClassEasily's failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

You may not assign or transfer these Terms, by operation of law or otherwise, without ClassEasily's prior written consent. ClassEasily may assign or transfer these Terms, at its sole discretion, without restriction.

Any notices or other communications permitted or required hereunder will be in writing and given by ClassEasily via email, Platform notification, or posting to the Platform.
